Miscellaneous
#12.1 Governing Law
These Terms of Use and the User's use of the Site shall be governed by and construed in accordance with the laws of the State of Illinois applicable to agreements made within the state and to be entirely performed within the State of Illinois, without regard to its conflict of law principles.
12.2 Dispute Resolution
Informal Negotiations
To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms of Use (each a "Dispute" and collectively, “Disputes”) brought by either any party to these Terms of User, the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.
Binding Arbitration
If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved through binding arbitration. THE USER UNDERSTANDS THAT WITHOUT THIS PROVISION, THE USER WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A TRIAL BY JURY. The arbitration shall be administered by the American Arbitration Association in the City of Chicago and the State of Illinois under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the AAA website. The User's arbitration fees and share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. The arbitration may be conducted in person, through the submission of documents, by phone, online, or by other method permitted by the rules. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in Cook County, Illinois. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.
Jurisdiction
If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be brought exclusively in the federal court for the Northern District of Illinois or in the Circuit Court of Cook County, Illinois. The Parties consent to the exclusive jurisdiction of such courts, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) is excluded from these Terms of Use.
Time Limitation
In no event shall any Dispute brought by either Party related in any way to the Site be commenced more than one (1) year after the cause of action arose. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable, and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.
Restrictions
The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law:
- no arbitration shall be joined with any other proceeding;
- there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and
- there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
Exceptions to Informal Negotiations and Arbitration
The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration:
- any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party;
- any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and
- any claim for injunctive relief.
If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.
12.3 Indemnification
The User agrees to defend, indemnify, and hold Iris Analytics harmless, including its subsidiaries, affiliates, and all of the respective officers, agents, partners, employees, contractors, interns, and volunteers from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of:
- use of the Site;
- breach of these Terms of Use;
- any breach of your representations and warranties set forth in these Terms of Use;
- your violation of the rights of a third party, including but not limited to intellectual property rights; or
- any overt harmful act toward any other user of the Site with whom you connected via the Site.
Notwithstanding the foregoing, Iris Analytics reserves the right, at the User's expense, to assume the exclusive defense and control of any matter for which the User is required to indemnify Iris Analytics, and the User agrees to cooperate, at their expense, with the defense of Iris Analytics of such claims. Iris Analytics will use reasonable efforts to notify the User of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.
12.4 Electronic Communications, Transactions, and Signatures

The User consents to receive electronic communication, and agrees that all agreements, notices, disclosures, and other communications Iris Analytics provides electronically, via email and on the Site, satisfy any legal requirement that such communication be in writing. THE USER HEREBY AGREES TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY IRIS ANALYTICS OR VIA THE SITE. The User hereby waives any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature, delivery, or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.
12.4 Entire Agreement
These Terms of Use and any policies or operating rules posted by Iris Analytics on the Site or in respect to the Site constitute the entire agreement and understanding between the Parties. The failure of Iris Analytics to exercise or enforce any right or provision of these Terms of Use shall not operate as a waiver of such right or provision. These Terms of Use operate to the fullest extent permissible by law. Iris Analytics may assign any or all of our rights and obligations to others at any time. Iris Analytics shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control.
12.5 Severability
If any provision or part of a provision of these Terms of Use is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms of Use and does not affect the validity and enforceability of any remaining provisions.
12.6 Relationship
There is no joint venture, partnership, employment, or agency relationship created between the Parties as a result of these Terms of Use or use of the Site.
12.7 Authority
The User agrees that these Terms of Use will not be construed against Iris Analytics by virtue of having drafted them. The User hereby waives any and all defenses they may have based on the electronic form of these Terms of Use and the lack of signing by the Parties hereto to execute these Terms of Use. Furthermore, the Parties represent and warrant that they are duly authorized and have the legal capacity to enter into these Terms of Use, and that the terms and conditions contained herein are valid and legally binding on each party enforceable in accordance with its terms.
12.8 Captions
The section headings of these Terms of Use are intended solely for convenience of reference and shall be given no effect in the construction or interpretation of this Agreement.
